TERMS OF SERVICE

1. Acceptance of terms
By accessing or using Alta at altalabs.co (including any sub-domains, integrations, or mobile experiences), you agree to these Terms of Service (“Terms”), our Privacy Policy, and any supplemental rules (e.g., Community Guidelines, DMCA Policy). If you do not agree, do not use the Service.
2. Eligibility & accounts
You must be at least 13 years old (or the digital-consent age in your country) and legally able to form a contract.
One personal account per individual.
Keep your credentials confidential; you are responsible for all activity under your account.
We may suspend or terminate accounts that violate these Terms or are inactive for 12 months.
3. Subscriptions & billing
Free Tier – limited story credits per month; watermark on exports.
Pro Tier – monthly or annual plan priced at [$ X.XX / mo], auto-renewing through Stripe.
Taxes/VAT processed where applicable.
Refunds – EU consumers: 14-day pro-rated right of withdrawal. Elsewhere: refunds only where required by law.
You may cancel anytime in Settings → Billing; perks remain active until the paid term ends.
4. User content
Your license to us. You grant Alta a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, modify, create derivative works (solely for formatting or technical reasons), and publicly perform your user-generated content (“UGC”) solely to operate, improve, and promote the Service.
Your warranties. You represent that you own or have the necessary rights to all UGC you submit and that it does not violate any law or third-party right.
Community standards. UGC must comply with our Community Guidelines (no hate, harassment, child sexual content, extreme violence, or illegal activity).
DMCA. We respond to notices under 17 U.S.C. § 512. Repeat infringers risk account termination. dmca@altalabs.co.
5. AI disclaimer & beta status
Alta uses AI models that may produce unpredictable, inaccurate, or offensive outputs. Content is provided “AS IS”. You are responsible for reviewing AI-generated material before sharing or publishing it outside Alta.
6. Prohibited conduct
Scraping, reverse-engineering, or attempting to circumvent technical safeguards.
Uploading viruses, malware, or engaging in denial-of-service attacks.
Generating or distributing content that is illegal, exploitative, or violates intellectual-property rights.
Automating requests above documented rate limits.
Using Alta to train or fine-tune competing AI models without our prior written consent.
7. Intellectual property
The Service, its source code, and the spark-quill logo are the property of Alta Labs, Inc.
Except for your UGC, all other rights (title, interest, and IP) remain with Alta.
You may not use Alta’s trademarks without our prior written permission.
8. Third-party links & integrations
The Service may link to or integrate with third-party websites and APIs (e.g., X/Twitter embeds). We are not responsible for third-party content or practices; use them at your own risk.
9. Termination
By you – Delete your account at any time in Settings → Account.
By us – We may suspend or terminate access for any violation of these Terms, security risk, or legal requirement. We will attempt to notify you unless prohibited by law or if we reasonably believe the notice would cause harm.
Upon termination, your license to use the Service ends, but Sections 4, 5, 7, 10–12 survive.
10. Indemnification
You will indemnify and hold harmless Alta, its affiliates, officers, employees, and agents from any third-party claim or demand arising out of (i) your UGC, (ii) your breach of these Terms, or (iii) your violation of any law or third-party right.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALTA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ALTA’S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD 100. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
13. Governing law & dispute resolution
Governing law: State of Delaware, USA (without regard to conflict-of-law principles).
Arbitration: Any dispute will be finally resolved by binding arbitration under the AAA Consumer Arbitration Rules in Wilmington, Delaware. You and Alta waive the right to a jury trial and to participate in class actions.
Small-claims option: You may pursue a claim in small-claims court in your county of residence instead of arbitration.
14. Modifications to these Terms
We may update these Terms from time to time. Material changes will be sent via email and posted at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
15. Miscellaneous
Entire agreement – These Terms, the Privacy Policy, and referenced policies constitute the entire agreement between you and Alta.
Severability – If any provision is unenforceable, the remainder remains in effect.
Assignment – Alta may assign these Terms; you may not without our written consent.
Force majeure – Neither party is liable for delays caused by events beyond reasonable control (e.g., natural disasters, internet outages).
